Terms and Conditions

These Terms and Conditions ("Terms") govern your use of carlifty.com and the Carlifty platform (the "Service"). Please read them carefully. They include important limitations of our liability (see section 10).

1. Who we are

The Service is provided by Carlifty, ("Carlifty", "we", "us").

Carlifty is currently being registered as a legal entity. Until registration is complete, the Service is operated by its founder. When the legal entity is registered, these Terms will be updated with its details and this agreement will transfer to it (see section 17).

2. Accepting these Terms

You accept these Terms when you create an account, start a paid plan or continue to use the Service after these Terms (or a new version of them) take effect. If you do not agree to these Terms, do not use the Service.

How we handle personal data is described in our Privacy Policy.

3. Business use only

The Service is intended only for businesses, such as vehicle transport carriers, dispatchers, companies, sole traders and self-employed persons, acting for purposes related to their trade, business or profession.

By creating an account, you confirm that:

  • you are at least 18 years old;
  • you are using the Service for business purposes and not as a consumer; and
  • if you act on behalf of a company, you are authorised to accept these Terms on its behalf.

Consumer protection rules, including the right of withdrawal, do not apply to your use of the Service. You are responsible for any consequences if the confirmations above are not true.

4. What the Service is

Carlifty shows vehicle transport load offers from across Europe, including their route, number of vehicles, price, road distance, price per kilometre and the contact details of the company offering the load.

4.1 We are only an information service

Carlifty is not a broker, freight forwarder, carrier or party to any transport agreement. Any agreement about a load is made directly between you and the company that offered it. We do not take part in negotiations, do not guarantee that any agreement will be concluded or performed and are not responsible for payment of freight, the condition of vehicles or any other obligation under such an agreement.

4.2 Load offers come from third parties

Load offers are sent to us by email by transport companies, brokers and dispatchers. We extract the offers automatically, partly using artificial intelligence. As a result, offers may be inaccurate, incomplete, outdated or no longer available, and may even have been published by dishonest parties.

You must check all details of an offer directly with the company offering it before accepting it or acting on it.

4.3 We do not verify companies

We do not check the identity, reliability, licences, insurance, payment history or legitimacy of the companies and people behind load offers. You are solely responsible for checking your business partners.

4.4 Distances and prices are estimates

Road distances, routes and prices per kilometre shown in the Service are automatically calculated estimates and may differ from actual values.

4.5 No guaranteed volume

The number of load offers, the routes and countries they cover and how often new offers appear depend on third parties. We do not guarantee any particular number, type or quality of offers.

5. Your account

  • You must provide accurate information and keep it up to date.
  • Each account is for one person only. You must not share your login details or let anyone else use your account.
  • You must keep your password secret and are responsible for everything done through your account.
  • If you suspect unauthorised use of your account, tell us immediately at support@carlifty.com.

6. Free trial

  • When you sign up, you get a 7-day free trial with full access to the Service, including contact details.
  • The trial does not require a payment card and does not turn into a paid plan automatically.
  • When the trial ends, you can still browse load offers, but contact details are only available with a paid plan.
  • Each person and each business may use the free trial only once.

7. Paid plans and payment

7.1 Creem is our Merchant of Record

Paid plans are sold through Creem, which acts as our Merchant of Record. Creem processes your payment, charges any applicable taxes such as VAT and issues your invoices. Creem's terms of sale also apply to your purchase.

7.2 Prices

Prices are shown in euros in the Service. Where indicated, applicable taxes are added on top of the price.

7.3 Automatic renewal

Paid plans are billed monthly in advance and renew automatically at the end of each billing period until you cancel.

7.4 Cancellation

You can cancel your plan at any time in Account settings β†’ Billing. After cancelling, you keep access to paid features until the end of the current billing period, and you will not be charged again. You can resume a cancelled plan before the period ends.

7.5 Failed payments

If a payment fails, access to paid features, such as contact details, is paused until payment succeeds.

7.6 Refunds

Payments are non-refundable, including for partially used or unused billing periods. We may decide to issue a refund at our discretion, for example in the case of a duplicate charge.

7.7 Price changes

We may change the price of paid plans. We will inform you by email at least 30 days before the new price applies. The new price applies from your first billing period after the notice period ends. If you do not agree, you can cancel your plan before then.

8. Rules for using the Service

You must not:

  1. use contact details from load offers for any purpose other than enquiring about or arranging transport for that offer, including for marketing, mailing lists, unsolicited messages or spam;
  2. scrape, bulk download or systematically copy load offers or contact details, or access the Service using bots, scripts, crawlers or automated agents;
  3. resell, republish or redistribute load offers or contact details, for example to other load boards, messaging groups or third parties;
  4. share your login details or let anyone else use your account;
  5. create more than one account or otherwise try to obtain more than one free trial;
  6. try to bypass access restrictions or payment, probe or test the security of the Service, or place an unreasonable load on it;
  7. use the Service for any unlawful or fraudulent purpose.

8.1 Personal data you obtain

Contact details shown in the Service may include personal data. When you use them, you act as an independent controller under the GDPR and are responsible for handling that data lawfully.

8.2 Consequences of breach

If you seriously breach these rules (points 1–3 and 5–7), or keep breaching them after a warning, we may immediately suspend or close your account without refund. You are liable for any damage caused by your breach, including claims from third parties relating to your misuse of contact details.

9. Availability and beta status

The Service is in a beta stage and is still being developed. It may contain errors, and features may change, be added or be removed. During a billing period you have already paid for, the core functionality of the Service will remain available.

The Service is provided "as is" and "as available". We do not guarantee that it will be uninterrupted, error-free or available at any particular time. The Service may be unavailable because of maintenance, technical faults or problems with third-party providers. We may temporarily suspend the Service for security, legal or technical reasons.

We may discontinue the Service entirely. If we do, we will inform registered users by email at least 30 days in advance. Payments already made are not refunded.

10. Limitation of liability

To the maximum extent permitted by law:

  • we are not liable for any loss arising from load offers or from your dealings with other companies, including unpaid freight, damaged or lost vehicles, empty kilometres, cancelled transports or fraud by third parties;
  • we are not liable for indirect or consequential losses, including lost profit, lost business, lost revenue or loss of data;
  • our total liability to you for all claims relating to the Service is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits our liability for damage caused intentionally or by gross negligence, or any other liability that cannot be limited under applicable law.

11. Intellectual property

The Service, including its software, design, texts, the Carlifty name and logo and the compilation of load offers, belongs to Carlifty or its licensors.

We grant you a limited, non-exclusive, non-transferable right to use the Service for your own business purposes while you have an active trial or paid plan and in accordance with these Terms. We do not claim ownership of the contents of load offers provided by third parties.

If you send us feedback or suggestions, we may use them freely without any obligation to you.

12. Third-party services

The Service relies on third-party services, such as Creem for payments and mapping providers for maps and routes. These services are subject to their own terms, and we are not responsible for them.

13. Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, such as natural disasters, war, power or internet outages, failures of hosting or other third-party providers, cyberattacks or actions of public authorities.

14. Ending the agreement

You can stop using the Service at any time. To end the agreement:

  1. cancel your paid plan, if you have one, in Account settings β†’ Billing; and
  2. ask us to delete your account by emailing support@carlifty.com from the email address linked to your account.

The agreement ends when your account is deleted. We may close your account as described in section 8.2 or when the Service is discontinued as described in section 9.

Sections that by their nature should continue to apply after the agreement ends, including sections 8, 10, 11, 15 and 17, remain in effect.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Lithuania. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

Any dispute arising from or relating to these Terms or the Service will be resolved by the courts of the Republic of Lithuania. Before going to court, please contact us so that we can try to resolve the matter amicably.

16. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top shows when they were last changed.

For material changes, such as changes that reduce your rights or add obligations, we will email registered users at least 14 days before the changes take effect. If you do not agree, you can cancel your plan and delete your account before then. By continuing to use the Service after the changes take effect, you accept the updated Terms.

Minor changes, such as corrections, clarifications, updated company details or changes required by law, take effect when they are published.

17. General provisions

  • Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Service.
  • Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
  • No waiver. If we do not enforce a right under these Terms, this does not mean we have waived it.
  • Transfer. You may not transfer your rights or obligations under these Terms without our consent. We may transfer this agreement, in particular to the Carlifty legal entity once it is registered, or as part of a sale or reorganisation of the business.
  • Notices. We will send notices to the email address linked to your account. You can send notices to support@carlifty.com.
  • Language. These Terms are available in several languages. If there is any conflict between language versions, the English version prevails.
